Steps Loyalty Program Terms and Conditions

Effective December 1, 2019

Introduction

The Steps Loyalty Program (the “Loyalty Program” or “Program”) allows members to earn rewards when making purchases at Steps New York and Kara New York stores operated by Steps Clothing Inc. and its affiliates (collectively “Steps”, “we”, or “us”).

By enrolling in the Loyalty Program, you agree to the following Terms and Conditions (the “Terms”) as well as our Privacy Policy. Anyone who does not consent to these Terms should not participate in the Program.

Enrollment

The Loyalty Program is open to residents of the U.S. age 18 or older, or 14 or older with the consent of a parent or guardian. You must have a current valid e-mail account to enroll. Employees, officers, directors, agents, and representatives of Steps are not eligible for enrollment. Immediate family members of employees who qualify to use the Steps employee discount are also ineligible for the Program.

Enrolling in the Loyalty Program will create a personal, non-transferable loyalty member account (the “Account”) that is linked to your name and e-mail address. Accounts are limited to one per person and are for the sole use of the named Account holder. Companies, groups, associations, or other entities are not eligible for the Program.

By participating in the Loyalty Program, you represent that you are at least 18 years of age or are 14 years of age and have the consent of a parent or guardian, and that you meet all other eligibility requirements listed in these Terms. Steps reserves the right to disqualify members who violate any of the Terms and Conditions.

You may enroll in the Loyalty Program at any time by visiting a Steps store location and signing up with your full name and valid e-mail address. Membership in the Program is free, and there is no purchase required to enroll. Your Account will be created by a Steps employee and you will receive a membership card (the “Loyalty Card”). This is a unique card with a serial number linked to your Account. You may present the Loyalty Card at checkout to get credit for your purchases, or we may look up your Account by name or e-mail address.

By enrolling in the Program, you agree to receive e-mail communications from us related to the Program and other offers and promotions. We may also send you receipts from your in-store purchases by e-mail if you choose this option at checkout. It is your responsibility and a condition of membership in the Program to keep your e-mail address and other information listed in your Account up to date. You may change or update your Account information at any Steps location.

Earning Rewards

Loyalty Program members earn rewards by making purchases at a Steps store using any accepted method of payment (cash, Steps Gift Cards, most major credit and debit cards) with the exception of store credit or merchandise exchange. Each net dollar spent on “Qualifying Items” is added to a balance on your Account (the “Account Balance”). Qualifying Items include all regular price and sale merchandise with the exception of gift cards. The amount credited to the Account Balance will be calculated as the total paid after any coupons, discounts, or other price adjustments have been applied. Any taxes or other fees we are legally mandated to collect will also be subtracted from the purchase total and will not be credited to your Account Balance.

When your Account Balance reaches $100.00, you will receive a $5.00 reward in the form of a coupon which may be used on a future merchandise purchase (this coupon will be referred to as “Steps Cash”). Steps Cash will be sent by e-mail once per week to members who have reached the $100.00 threshold during the previous seven (7) days. The $100.00 that was redeemed for Steps Cash will then be deducted from your Account Balance.

Each additional $100.00 credited to your Account Balance in the same seven-day period will be redeemed for another $5.00 Steps Cash. All the Steps Cash earned during each seven-day period will be combined into a single coupon. Steps Cash will always be issued in multiples of $5.00 and will be issued automatically for each $100.00 in the Account Balance.

If your Account Balance is under $100.00, or if there is a balance left over after Steps Cash is issued, it will remain in your Account until you make enough purchases to reach $100.00.

Loyalty Program members must present their Loyalty Card or ask the cashier to look up their Account before completing their purchase in order for the purchase to be added to their Account Balance.

In the event you return all or part of a purchase that has been added to your Account Balance, the amount of any store credit issued will be subtracted from your Account. As a result, you may have a negative Account Balance after a return. Once you redeem the store credit for merchandise, the credit amount will be added back to your Account Balance. Any Steps Cash issued before the return will remain valid. Exchanges will not affect your Account Balance. In accordance with Steps store policy, returns may only be made for store credit or merchandise exchange.

Your Account Balance has no cash value and is not exchangeable for cash or cash equivalent. Account Balances are non-transferable. Should you choose to end your membership in the Loyalty Program, you will forfeit your Account Balance.

VIP Status

Loyalty Program members who spend $1,000.00 or more on Qualifying Items are automatically upgraded to “VIP” status. The $1,000.00 requirement can be met in a single purchase or multiple purchases made over time using the same Loyalty Account. As a VIP member, you will receive $7.50 Steps Cash for every $100.00 in your Account Balance, and you will also receive special VIP-exclusive coupons and offers through e-mail.

Steps Cash

Steps Cash may be used to purchase merchandise at any Steps location. It may not be used to purchase gift cards. You may use other discounts and coupons with Steps Cash, with the exception of the Steps employee discount. You may purchase regular price or sale merchandise with Steps Cash. There is no minimum purchase amount. When purchasing multiple items, the Steps Cash will be proportionally split between all items in the transaction. Steps Cash expires ninety (90) days from the date of issue. The expiration date will be listed in the e-mail you receive with your Steps Cash. No Steps Cash may be redeemed after its expiration date.

Steps Cash will be sent to Loyalty Program members by e-mail to the address listed on your Account. You are responsible for ensuring your Account has the correct e-mail address, and that you are able to receive and access our e-mails through your e-mail provider.

Your Steps Cash e-mail will contain a unique QR code that is linked to your Account. The cashier must scan this code at checkout to redeem your Steps Cash. You may print the e-mail, or bring it on a phone or other device that may be scanned. You will be unable to look up or use your Steps Cash in store without your original e-mail. Steps Cash cannot be applied to past purchases.

Each Steps Cash code may only be used once. If you do not use the entire amount of your Steps Cash in a single purchase, you forfeit the remaining amount. If you return an item purchased with Steps Cash for store credit, you will forfeit the amount of Steps Cash applied to that item in the original transaction. You may exchange an item purchased with Steps Cash for the same item in a different size or color as an even exchange.

You are responsible for ensuring the security of your e-mail account and preventing unauthorized use of your Steps Cash. We recommend you do not share your e-mail account with anyone and use a strong, unique password.

Steps Cash has no cash value and is not exchangeable for cash or cash equivalent. Steps Cash is non-transferable and may not be sold or gifted.

Changes and Termination

You may cancel or change your Account at any time by visiting a Steps store. Upon cancellation of your Loyalty Account, any amount left in your Account Balance will be forfeited.

Steps reserves the right to limit, suspend, modify, or terminate the Steps Loyalty Program or any of the Terms at any time without notice. Changes or notice of termination of the Program will be posted here in the Terms and Conditions and/or we may notify you by e-mail. You continued participation in the Program will confirm your acceptance of such changes.

Steps reserves in its sole discretion the right to revoke or suspend membership and/or remove any and all Program benefits including the Account Balance and Steps Cash of any member in the event of suspected fraud, misuse, or abuse of the Loyalty Program, or if a member violates any of these Terms and Conditions. Any amount in your Account Balance and any unused Steps Cash will be forfeited if your membership is revoked, suspended, or if the Loyalty Program is terminated.

Arbitration Agreement

Any controversy or claim arising out of or relating to these Terms, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

All arbitrations shall proceed on an individual basis. The arbitrator is empowered to resolve the claim with the same remedies available in court; however, any relief must be individualized to you and shall not affect any other customer.

This arbitration provision shall survive any termination of these Terms and Conditions or the Steps Loyalty Program, including your cancellation of membership in the Program.

Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to principles of conflict of law. The waiver of any of these Terms by Steps will not be construed as a further or continuing waiver of such terms or conditions or any other terms, conditions, or rights. If any provision of these Terms of Use is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, then that provision shall be deemed severable and all other provisions shall continue in full force and effect.
